Biography

Tracy Fisher is a partner in the firm’s Tax Practice Group. She provides complex domestic and cross-border tax structuring and transactional advice to a wide range of U.K. and international clients.

Tracy’s experience includes advising on corporate M&A, public company and private equity transactions, group reorganisations and demergers, real estate and equity investments and international taxation and finance.

A member of Brown Rudnick’s Family Office team, Tracy is also part of our cross-discipline initiative working for clients in this area.

Tracy is recognized in The Legal 500Best Lawyers and Super Lawyers for tax law. A client commented that Tracy is “easily the most accessible and pragmatic tax lawyer I have worked with.” Another client praised her for her “flexible and commercial approach.”

Advised RealVNC, a leading provider of remote access software, on its sale to Livingbridge, mid-market private equity investors.

Advising U.S. fund Karlin Real Estate on the structure and implementation of a reorganisation of its U.K. and European property portfolio. Subsequently acting on the Karlin’s sale of that portfolio to Kildare Partners for £260 million.

Acting for the shareholders in Chorus Law Group in connection with the company’s merger into Simplify Group Limited and subsequent private equity investment by Palamon Capital Partners.

Acting for LJ Capital on various bespoke cross-border investment transactions and structures.

Advising LJ Capital on the structure and implementation of its group’s international restructuring.

Acting for Belgian group Iwan Simonis SA on its acquisition of WSG Textiles from private equity owners Vespa Capital.

Acting for Kildare Partners on its £70 million acquisition of a European property holding group from Invesco.

Acting for AIM quoted carpet manufacturing group, Victoria PLC, on numerous company acquisitions (such as Interfloor Limited) and group structure aspects.

Acting for Queensgate Investments LLP on the purchase of Kensington Forum Hotel.

Acting for Metric Capital Partners on its acquisition of the James Grant Group, leading provider of talent management services.

Acting for a major U.S. fund on the proposed set-up and structure of a $1 billion Luxembourg SICAV Fund for investment in Eastern European nanotechnology companies.

Advising a Guernsey fund on its investment in litigation funding.
