Biography

Jared Sorin is a partner in the Firm’s Corporate Practice Group and a co-practice group leader of the Emerging Growth Companies & Venture Capital Group. Jared represents start-up, early-stage and emerging-growth companies, as well as the investors who support them. He advises entrepreneurial clients on a broad range of technology-driven industries regarding general corporate, finance, and transactional matters, including choice of business entity, debt and equity financing transactions, securities law compliance, mergers, acquisitions and divestitures, business formation, strategic alliances. His investor clients include angel investors, family offices, venture capital funds, and other private equity firms regarding their investments in early-stage and emerging-growth companies.

Jared frequently speaks on topics of interest to the entrepreneurial community. He serves as a mentor and advisor for various accelerator, incubator, and entrepreneurial networking groups, including the NYU Startup School, the NYU Summer Launchpad Accelerator Program, the Canadian Tech Accelerator, Young Jewish Professionals, the Jersey Shore Tech Meeting, and the Rutgers Preparatory School Business and Entrepreneurship Program. In addition, in 2016, he cofounded entreprenYOURS, Inc., an accelerator program for idea-stage startup companies in New York and New Jersey, characterized by a unique system of cross-equity ownership designed to foster collaboration and community among the accelerator’s portfolio companies. Jared also helped to cofound a venture capital fund focused on investing in early-stage and emerging-growth companies in New Jersey and the surrounding region that have demonstrated early traction in consumer-facing technologies and Internet-of-Things (IoT) verticals, among other tech and tech-enabled industry sectors.

Consummated a seed financing for Fundraise Up, which offers a unique technology solution to not-for-profit organizations to increase the efficiency and success of their donation-raising efforts.

Completed the sale of biotechnology company Syntimmune to Alexion in a stock-for-cash transaction. Represented Syntimmune founders Richard Blumberg, MD, and Laurence Blumberg, MD, as well as their family office and the AFB Fund, the initial institutional investor and largest common stockholder. Syntimmune develops novel therapies for a wide range of autoimmune disorders, driven by the founders’ discoveries related to the unique role of FcRn in mediating immune response.

Represented Credit2B on the sale of a new credit management solution to Factor Systems, Inc., d/b/a Billtrust, the leader in B2B payment cycle management. Credit2B LLC combines cloud-based software, crowdsourcing, and deep data to provide up-to-date payment behaviors and financial risk information on common customers, streamlining the process for suppliers.

Closed on the sale of technology company TelTech Systems to IAC Applications, LLC. TelTech Systems, Inc. is a technology startup that develops innovative, telecom-focused web and mobile apps to improve communications for end users.

Closed a Series A Preferred Stock and Warrant financing led by Edison Partners on behalf of Northpass, Inc. an e-learning platform that provides managers with effective and engaging brand training for their teams, customers, and partners.
