Biography

Michael Cohen is a partner in the Firm’s Corporate Practice Group and co-practice group leader of the Firm’s Global Life Sciences Group. Michael is also co-practice group leader of the Firm’s Emerging Growth Companies & Venture Capital Group. He regularly advises on high-profile matters in the life sciences and technology sectors.

Michael represents early stage and mid-market companies in connection with corporate structuring, mergers and acquisitions, joint ventures and strategic alliances, financing transactions, and other general corporate and commercial matters at all stages of the corporate life cycle. Michael also advises venture, hedge, and private equity funds, universities, corporate venture groups, and portfolio companies in connection with financing transaction deal terms and stockholders' agreements, technology licensing, corporate governance and securities law compliance in connection with private offerings.

Michael's clients regularly rely on him to be a true outside general counsel, ready and able to handle matters big and small as they arise.

Michael works closely with Brown Rudnick’s London office in counseling U.K. and European clients engaging in transactions involving U.S. concerns.

Represented the University of Oxford, Oxford University Innovation, and Oxford Sciences Innovation in connection with various spin-out and portfolio company matters.

Represented RA Capital Management in connection with the Series B Preferred Share financing of WhiteSwell Limited, and a share exchange resulting in the redomiciling of WhiteSwell from Israel to Ireland.

Represented RA Capital Management and Bain Capital Life Sciences in connection with the $50 million Series C crossover financing of Solid Bioscience.

Represented Pallidus, Inc. in connection with multiple equity financings.

Represented PicOnyx, Inc. in connection with a strategic transaction involving CARBO Ceramics, Inc.
