Biography

James Douglass is a partner in the Firm’s Corporate Practice Group and co-chair of the Energy Transition Practice Group. He delivers complex high-value projects for clients in many different market and legal environments. James’ practice primarily focuses on energy transition (renewable electricity and gas, hydrogen, LNG, fusion, battery storage and related energy technology), oil & gas (LNG, upstream, midstream, downstream), infrastructure, and resources. James focuses on project acquisition and development, structuring, joint venture and governance arrangements, project contracts (EPC/O&M/fuel or feedstock supply/offtake), and related project financing in the energy, resources, and infrastructure sectors.

James has deep experience in Europe, Asia, Africa, Russia, Central Asia, the Middle East, the CEE, and Latin America/Caribbean. Through his eight years living and working in Asia, he has developed an understanding of the requirements of Asian investors in their global energy projects.

James brings over 30 years of experience in private law practice. Prior to joining Brown Rudnick, James was a partner at a number of leading international law firms.

Representation

Negotiation and structuring of over 35 independent power projects for renewable and conventional technologies, including the key project contracts from development agreements/joint venture agreements, EPC, O&M, offtake/PPAs, grid connection to related project financing.

Negotiation of over 40 corporate renewable energy PPA’s for sellers and buyers, including for some of the world’s leading and largest businesses in the technology, online retail, life sciences, beverage, manufacturing, and energy and utilities sectors, among others.

Negotiation of joint ventures and growth structures for energy transition related technology businesses.

LNG transactions (floating and land based) ranging from large-scale liquefaction and regas projects to small-scale LNG projects, including negotiating the key project contracts including EPC, terminal use agreements, LNG sale and purchase agreements, LNG tolling agreements, LNG terminal O&M to related project financing.

Energy-related M&A transactions, including joint ventures/joint development agreements, asset acquisitions, concession agreements, and asset swaps.

Energy-related projects and other structured financing transactions, including reserves-based lending, commodity financing, and ECA financing.

Hydrogen-related transactions from electrolyser EPC, PPA’s, H2 offtake, to tolling agreements.
