Biography

Sage Revell is a partner in the Firm's International Corporate Practice Group and a member of the Firm's Global Life Sciences Practice Group. She advises on a wide range of corporate and commercial matters, including national and cross-border mergers and acquisitions, venture capital, private equity and corporate re-organizations. Sage represents companies from the start-up phase, early-stage and emerging-growth companies all the way through to exit, in addition to the investors who support them. Sage works closely with Brown Rudnick’s U.S. offices as corporate counsel on transactions involving U.K. concerns.

Sage is listed as a Next Generation Partner and Recommended Lawyer in The Legal 500 directory for Venture Capital, M&A: smaller deals £10M-£100M, and TMT, respectively. Clients commented that Sage is "top-notch, highly intelligent, very hard working and very thorough" and "one of the best lawyers I’ve ever worked with." She was also recognized in The Best Lawyers in the United Kingdom 'Ones to Watch' 2023 and 2024 editions for Life Sciences Law. 

Sage's key areas of experience are:

  • Representing both investors and investee companies in connection with numerous venture capital and private equity transactions, with particular focus on life sciences, technology, and impact investment sectors.
  • Negotiating on behalf of buyers and sellers on numerous cross-border M&A transactions involving the acquisition or sale of companies globally.
  • Advising family offices and other private investors on a broad range of cross-border transactions.

Sage is an advocate for women's health and wellness and leads the Firm's Femtech initiative in London and New York. Sage is a thought leader in the Femtech space, having been invited to present at the UCSF Rosenman Institute in San Francisco on the topic in May 2023, moderated a panel at the Decoding the Future of Women conference in London in June 2023, and co-presented on the 'Female Frontier – a Conversation on FemTech' at Startup Boston in September 2023 with RH Capital, to name a few.

Sage serves as Diversity, Equity & Inclusion partner ("DEI partner"), along with her counterpart Rod Moss. As a DEI partner, Sage works alongside the Director of Diversity, Equity & Inclusion to develop and implement the Firm's strategy for maintaining an inclusive work environment. As members of the DEI Team, Sage and Rod serve as visible champions for the Firm's efforts to recruit, hire, develop and promote diverse and women lawyers, and actively engage Firm leadership to ensure diversity, equity and inclusion remain strategic business priorities.

Venture Capital – Life Sciences / Technology

Advisor to Bio-Rad Laboratories Inc., a global leader in developing, manufacturing, and marketing products for life sciences research and clinical trials, in its various investments (seed and several follow-on rounds) in the U.K. and beyond.

Advisor to Level, a global conservation business, principally active in the U.K. and Tanzania.

Advisor to Voltea, a water purification technology business operating in the U.S. and U.K.

Advising Capricorn Sustainable Chemistry Fund on its investment into Econic Technologies, a clean-tech company. This investment backed the scale up of Econic’s catalyst and process technology that transforms waste CO2 into a valuable raw material for use in essential every-day products, reducing their carbon footprints by up to 30%.

Acted for Coinfirm, the global leader in RegTech for digital currencies and the blockchain-based financial ecosystem, on its $8 million Series A funding round.

Acted for a family office in its £7 million investment into an asset management company offering ETFs primarily linked to Europe’s credit markets, structured in two tranches, with the second one being made at the option of the investor on approval from the FCA.

Advised Candela Medical on various corporate restructurings and investments.

Advised the management team of GreenSteam, a marine data intelligence company specializing in improving vessel efficiency through machine learning, on the company’s reorganization, the securing of equity finance from P/F Royndin, a Faroe Islands-based investment firm, and a loan facility from BP Castrol.

Advising Oliva Health on various U.K. activities, including assistance on commercial contracts and service contracts.

M&A

Advised an independent French company specializing in packaging solutions for medical devices on an asset sale to one of the world’s largest independent pharmaceutical companies for over €50 million.

Acted for the sellers on the sale of GreenSteam to Lloyd’s Register. The acquisition will be integrated and managed by i4 Insight, a subsidiary of Lloyd’s Register, going forwards.

Acted for Queensgate Investments on its c. £1 billion acquisition of four central London hotels from the Grange Hotels group and leasing to the Fattal Group.

Acted for Queensgate Investments on its sale of London Executive Offices, a serviced office business, to a family office for £475 million.

Acted for the sellers on the sale of Katsouris Limited, a Mediterranean food products business to Cranswick plc for over £50 million.

Acted for a New York-based family office in its acquisition of a luxury hotel located on the island of Saint Martin in the Caribbean for over €35 million.

Acted for a family office in its acquisition of a large shopping center in Germany for over €100 million.

Finance / Other General Corporate

Advisor to a strategic intelligence firm on various corporate and commercial matters.

Advising Clifford Street Advisors LLP, a family office with a global portfolio of private equity and real estate investments, on various restructurings and acquisitions.

Acted for a high-net-worth individual in his investment (by way of term loan facility) into a luxury property development.

Corporate support on various restructuring deals, including the Lehman Bros liquidation.

Corporate support to the litigation team on a high-profile real estate dispute, including negotiations in Dubai in February 2020.

Advised on various litigation funding matters.

Pro Bono

Extensive pro bono efforts including corporate governance work for the anti-doping charity FairSport, the directors of which produced the Oscar award winning Netflix documentary ‘Icarus.’

Regular attendance (virtually during the COVID-19 pandemic) at a pro bono clinic in South London to assist individuals that cannot afford legal representation on various property and small claims matters.
